Terms of Service

Effective date: July 8, 2026 · Last updated: October 26, 2026

These Terms of Service ("Terms") govern your access to and use of the website syzygia.io, the Syzygia platform and related services (together, the "Services") provided by Syzygia ("we", "us", "our"). By using the Services you agree to these Terms and to our Privacy Policy, Cookie Policy and, where it applies, our Data Processing Addendum.

1. The Services

Syzygia provides a subscription platform where organizations and individuals hire and manage AI agents ("virtual employees") from a marketplace of specialized roles, plus related professional services such as workflow audits, agent development, training and maintenance. Features, capacity limits (such as included executions, agents, storage and recipients), service levels and prices are those published on our website or set in your order form or subscription agreement.

2. Beta and early access

The Services are currently offered as a private beta. During the beta:

  • Access is at our discretion, may be free of charge, and may be limited, suspended or revoked at any time.
  • Features are pre-release: they may be incomplete, contain errors, change without notice or be discontinued. They are provided "as is", without any warranty or service-level commitment, and published plan capacities may not yet apply.
  • Keep copies of important data you upload; we cannot guarantee that beta data will be preserved at public launch.
  • We may use your feedback to improve the product, without obligation or compensation and without identifying you publicly.
  • You may not publicly disclose non-public beta features without our consent.

3. Accounts

You must be at least 16 years old (or the age of digital consent in your jurisdiction), give accurate information when you create an account and keep your credentials secure. You are responsible for all activity under your account. You may sign in with identity providers such as Google, Microsoft or Apple, or your organization's single sign-on; their own terms and privacy policies apply to that use. When you first sign in, and when these Terms or our Privacy Policy change materially, the platform asks you to accept them and records your acceptance.

4. Acceptable use

You agree not to use the Services to:

  • Violate applicable law or the rights of any third party.
  • Upload, store or share content that is unlawful, infringing (including pirated software, media or other copyrighted material you do not have rights to), defamatory or malicious.
  • Gain unauthorized access to the Services or to other customers' data.
  • Disrupt the integrity or performance of the Services, or circumvent usage metering or plan limits.
  • Send spam or unsolicited messages (including by email, WhatsApp or other messaging channels), or carry out fraudulent, deceptive or abusive activity.
  • Use agents for high-risk activities, such as medical diagnosis, legal representation or financial trading decisions, without qualified human review.
  • Reverse engineer, resell or sublicense the Services except as expressly permitted.
  • Process personal data without a valid legal basis or otherwise in breach of data protection law, including unlawful monitoring of individuals.
  • Probe, scan or test the security of the Services, except as permitted by our vulnerability disclosure policy.

We may investigate suspected violations and suspend or terminate accounts that breach this section, in addition to any other remedies available to us.

5. Your content and data

You keep all rights to the data, files and content you or your organization submit to the Services ("Customer Data"). You grant us a limited, non-exclusive license to host, process and display Customer Data solely to provide and support the Services. We do not use Customer Data to train foundation or general-purpose AI models. Personal data is handled as described in Section 6 and our Privacy Policy.

5.1 Your responsibility for uploaded content

  • You represent and warrant that you have all rights, licenses and consents needed for the content you upload, and that it does not violate the law or third-party rights (including intellectual-property, privacy and confidentiality rights).
  • Syzygia acts as a hosting intermediary for Customer Data: we do not pre-screen, endorse or own it and, to the maximum extent permitted by law, we are not liable for Customer Data, including unlawful, infringing or pirated material uploaded in breach of these Terms.
  • We may (but are not obliged to) remove or disable content we reasonably believe violates these Terms or the law, and suspend or terminate repeat infringers' accounts.
  • You are responsible for keeping your own copies of Customer Data. Storage is limited by your plan.

5.2 Copyright complaints (takedown)

If you believe content hosted on the Services infringes your copyright, write to support@syzygia.io with: (a) the work claimed to be infringed; (b) where the allegedly infringing material is; (c) your contact details; (d) a statement that you believe in good faith the use is not authorized; and (e) a statement, under penalty of perjury, that the information is accurate and that you are the rights holder or authorized to act for them. We will review valid notices, remove or disable infringing material where appropriate and notify the user who uploaded it, who may submit a counter-notice.

6. Data protection and the DPA

  • Roles. For personal data in Customer Data, you (or the organization you act for) are the controller and Syzygia is your processor. Syzygia is the controller for account, billing and website data, as described in our Privacy Policy.
  • Data Processing Addendum. Processing on your behalf is governed by our Data Processing Addendum ("DPA"), which meets Article 28 of the GDPR and forms part of these Terms when you use the Services as a business. An administrator of your organization can accept it in the platform, or you can request a signed copy at info@syzygia.io. If the DPA and these Terms conflict on personal data, the DPA prevails.
  • Your instructions. We process Customer Data only on your documented instructions (your configuration and use of the Services and these Terms), unless the law requires otherwise.
  • AI models. Agents send the content each task needs to third-party AI models. Their providers process it to return a response and do not use it to train their models.
  • Sub-processors. You give us general authorization to engage sub-processors. The current list is available to customers on request at info@syzygia.io (see our Sub-processors page). We will notify you of new sub-processors at least 30 days in advance, and you may object on reasonable data-protection grounds, as set out in the DPA.
  • International transfers. Customer Data is processed in the United States and other countries. Transfers from the EU/EEA, UK or Switzerland rely on an adequacy decision (such as the EU-U.S. Data Privacy Framework for certified recipients) or the European Commission's Standard Contractual Clauses (with the UK addendum or Swiss amendments where applicable), as described in the DPA.
  • Assistance. We will help you respond to requests from individuals exercising their rights, and will notify you of a personal data breach affecting Customer Data without undue delay, within the time set in the DPA.
  • Your responsibilities. You must have a lawful basis for the personal data you put into the Services and give the people concerned any notice the law requires, including people who receive emails or messages from your agents or take part in voice calls.

7. Security

We maintain technical and organizational measures, appropriate to the risk, to protect Customer Data against unauthorized access, loss or alteration, as summarized on our Trust Center and described in the DPA. We may update them provided we do not materially reduce the overall level of protection. You are responsible for securing your own accounts, credentials, devices and connected services, and for the access permissions in your workspace. Report suspected vulnerabilities under our vulnerability disclosure policy.

8. Third-party services and channels

The Services can connect to third-party services you authorize (for example Google Workspace or social networks). Those services are governed by their own terms and we are not responsible for them. You are responsible for having the rights needed to connect them and for the instructions you give agents that act within them.

WhatsApp and other channels. The WhatsApp channel and other third-party channels and integrations work subject to availability, depend on third-party services and their terms, and message delivery is not guaranteed. You are responsible for having the right to message your contacts.

9. AI outputs

The Services use third-party AI models to generate content and take actions on your behalf. You acknowledge that:

  • AI outputs are generated probabilistically and may contain errors, omissions or inaccuracies, may be incomplete, or may resemble outputs generated for other customers.
  • You must review outputs before relying or acting on them, especially for legal, financial, tax, medical or other consequential decisions.
  • Agents, whatever their role names (e.g., "Accountant", "Legal Counsel"), do not provide professional advice and are not a substitute for a licensed professional. Role names describe software capabilities.
  • Actions agents take in your connected tools (sending messages, editing documents, scheduling events) are performed on your instructions and under your responsibility.

10. Intellectual property

We and our licensors own all rights in the Services, including software, design, marketplace agent definitions and branding. Deliverables developed specifically for you (such as custom agents and audit reports) are governed by your subscription agreement; unless agreed otherwise, they are delivered to you for your use.

11. Plans, Syzygia Credits, billing and termination

  • Agent work (executions, tool calls, messages, voice calls and similar operations) consumes prepaid Syzygia Credits at the published rates. Your plan may include credits for each billing period, which expire at the end of that period; credits you buy separately do not expire. Payments are handled by our payment processor, which issues the receipt.
  • When your balance or a budget you set runs out, agents stop working until you add credits.
  • We may change plan prices, credit prices or features with prior notice; changes take effect at your next renewal or purchase.
  • Paid plans renew automatically until cancelled and end as set out in your plan or order form. You can cancel at any time; the plan stays active until the end of the paid month and partial months are not refunded. Credits you buy separately don’t expire and are not refundable, except where the law requires it or as set out in the DPA for an objection to a new sub-processor.
  • We may suspend or terminate access for material breach of these Terms, with notice where practicable. On termination we will delete or return Customer Data in accordance with your agreement, the DPA, our Privacy Policy and applicable law.

12. Disclaimers

The Services are provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement and any warranty that the Services or AI outputs will be accurate, uninterrupted or error-free. This applies with particular force during the beta (Section 2).

13. Limitation of liability

To the maximum extent permitted by law, Syzygia will not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, revenue or data, arising from your use of the Services, including from AI outputs, actions agents take on your instructions, Customer Data uploaded by you or other users, or third-party services you connect. Our aggregate liability for any claim will not exceed the amounts you paid us for the Services in the twelve months before the claim (or USD 100 if you have not paid us, including during the free beta). Nothing in these Terms limits liability that cannot be limited by law.

14. Indemnification

You will defend, indemnify and hold Syzygia harmless from any claim, demand, loss or expense (including reasonable legal fees) arising from: (a) Customer Data you upload, including claims that it is unlawful or infringes third-party rights; (b) your use of the Services in breach of these Terms or the law; (c) instructions you give agents and the actions they take in your connected tools as a result; or (d) your breach of third-party terms that apply to services you connect.

15. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-laws rules, and the courts located there will have exclusive jurisdiction — except that if you are a consumer in the EU/EEA or UK, you keep the protection of the mandatory consumer laws and courts of your country of residence. Before filing any claim, you agree to contact us at support@syzygia.io and attempt to resolve the dispute informally for 30 days.

16. Changes to these Terms

We may update these Terms. We will post the updated version on this page and revise the "Last updated" date. Non-material changes apply from posting. For material changes we will tell you in advance and, as described in Section 3, the platform will ask you to accept the updated Terms the next time you sign in; if you do not accept them, you may stop using the Services and close your account.
