Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website syzygia.io and the Syzygia platform and related services (together, the "Services") provided by Syzygia ("we", "us", "our"). By accessing or using the Services, you agree to be bound by these Terms and by our Privacy Policy and Cookie Policy.

1. The Services

Syzygia provides a subscription-based platform where organizations and individuals hire and manage AI agents ("virtual employees") from a marketplace of specialized roles, together with related professional services such as workflow audits, agent development, training, and maintenance. Specific features, capacity limits (such as included runs, agents, storage, and recipients), service levels, and pricing are those published on our website or defined in the applicable order form or subscription agreement between you and Syzygia.

2. Beta and early access

The Services are currently offered as a private beta. During the beta:

  • Access is granted at our discretion, may be free of charge, and may be limited, suspended, or revoked at any time.
  • Features are pre-release: they may be incomplete, change without notice, or be discontinued, and may contain errors. Beta features are provided "as is", without any warranty or service-level commitment, and published plan capacities may not yet apply.
  • You should keep copies of important data you upload during the beta; we cannot guarantee that beta data will be preserved at public launch.
  • Feedback you provide about the Services may be used by us to improve the product, without obligation or compensation, and without identifying you publicly.
  • You may not publicly disclose non-public features of the beta without our consent.

3. Accounts

You must be at least 16 years old (or the age of digital consent in your jurisdiction) and must provide accurate information when creating an account, and keep your credentials secure. You are responsible for all activity under your account. You may sign in using third-party identity providers such as Google; your use of those providers is subject to their own terms and privacy policies.

4. Acceptable use

You agree not to use the Services to:

  • Violate applicable law or the rights of any third party.
  • Upload, store, share, or distribute content that is unlawful, infringing (including pirated software, media, or other copyrighted material you do not have rights to), defamatory, or that contains malware.
  • Attempt to gain unauthorized access to the Services or to other customers' data.
  • Interfere with or disrupt the integrity or performance of the Services, or circumvent usage metering or plan limits.
  • Send spam or unsolicited messages (including via the email and WhatsApp delivery features), or conduct fraudulent, deceptive, or abusive activity.
  • Use agents for high-risk activities without qualified human review — including medical diagnosis, legal representation, or financial trading decisions.
  • Reverse engineer, resell, or sublicense the Services except as expressly permitted.

We may investigate suspected violations and may suspend or terminate accounts that breach this section, in addition to any other remedies available to us.

5. Your content, files, and data

You retain all rights to the data, files, and content you or your organization submit to the Services ("Customer Data"). You grant us a limited, non-exclusive license to host, process, and display Customer Data solely to provide and support the Services. Our handling of personal data is described in our Privacy Policy. We do not use Customer Data to train foundation or generalized AI models.

5.1 Your responsibility for uploaded content

  • You represent and warrant that you own or have all necessary rights, licenses, and consents for any file or content you upload, and that your Customer Data does not violate law or third-party rights (including intellectual-property, privacy, and confidentiality rights).
  • Syzygia acts as a hosting intermediary for Customer Data. We do not pre-screen, endorse, or take ownership of it, and — to the maximum extent permitted by law — we are not responsible or liable for Customer Data, including any unlawful, infringing, or pirated material uploaded by users in breach of these Terms.
  • We may (but are not obligated to) remove or disable access to content that we reasonably believe violates these Terms or applicable law, and we may suspend or terminate repeat infringers' accounts.
  • You are responsible for maintaining your own copies of Customer Data. Storage capacity is limited by your plan.

5.2 Copyright complaints (takedown)

If you believe content hosted on the Services infringes your copyright, send a notice to contact@syzygia.io with: (a) identification of the work claimed to be infringed; (b) the location of the allegedly infringing material; (c) your contact information; (d) a statement that you have a good-faith belief the use is not authorized; and (e) a statement, under penalty of perjury, that the information is accurate and that you are the rights holder or authorized to act for them. We will review valid notices, remove or disable access to infringing material where appropriate, and notify the user who uploaded it, who may submit a counter-notice.

6. Third-party services and integrations

The Services can connect to third-party services you authorize (for example Google Workspace or WhatsApp). Those services are governed by their own terms, and we are not responsible for them. You are responsible for having the necessary rights to connect them to the Services and for the instructions you give agents that act within them.

7. AI outputs

The Services use artificial intelligence to generate content and take actions on your behalf. You acknowledge that:

  • AI outputs are generated probabilistically and may contain errors, omissions, or inaccuracies, may be incomplete, or may be similar to outputs generated for other customers.
  • You are responsible for reviewing outputs before relying on them or acting on them, especially for legal, financial, tax, medical, or other consequential decisions.
  • The Services and their agents — whatever their role names (e.g., "Accountant", "Legal Counsel") — do not provide professional advice and are not a substitute for a licensed professional. Role names describe software capabilities, not licensed practitioners.
  • Actions agents take in your connected tools (sending messages, editing documents, scheduling events) are performed on your instructions and under your responsibility.

8. Intellectual property

We and our licensors own all rights in the Services, including software, design, marketplace agent definitions, and branding. Deliverables developed specifically for you (such as custom agent code and audit reports) are governed by your subscription agreement; unless agreed otherwise, they are delivered to your repositories and documentation for your use.

9. Subscriptions, billing, and termination

  • Published self-serve plans are billed monthly or annually in USD. Plan capacity (runs, agents, storage, recipients) resets or is measured monthly; overage for metered runs is charged at the published rate.
  • We may change plan prices or features with prior notice; changes take effect at your next renewal.
  • Paid subscriptions renew automatically until cancelled and terminate as set out in your plan or order form. You may stop using the free areas of the website at any time.
  • We may suspend or terminate access for material breach of these Terms, with notice where practicable. Upon termination we will delete or return Customer Data in accordance with your agreement, our Privacy Policy, and applicable law.

10. Disclaimers

The Services are provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty that the Services or AI outputs will be accurate, uninterrupted, or error-free. This applies with particular force during the beta (Section 2).

11. Limitation of liability

To the maximum extent permitted by law, Syzygia will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, or data, arising from your use of the Services — including damages arising from AI outputs, actions taken by agents on your instructions, Customer Data uploaded by you or other users, or third-party services you connect. Our aggregate liability for any claim will not exceed the amounts you paid to us for the Services in the twelve months preceding the claim (or USD 100 if you have not paid us, including during the free beta). Nothing in these Terms limits liability that cannot be limited by law.

12. Indemnification

You will defend and indemnify Syzygia and hold us harmless from any claim, demand, loss, or expense (including reasonable legal fees) arising from: (a) Customer Data you upload — including claims that it is unlawful or infringes third-party rights; (b) your use of the Services in violation of these Terms or applicable law; (c) instructions you give agents and the actions they take in your connected tools as a result; or (d) your violation of third-party terms applicable to services you connect.

13. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-laws rules, and the courts located there will have exclusive jurisdiction — except that if you are a consumer in the EU/EEA or UK, you keep the protection of the mandatory consumer laws and courts of your country of residence. Before filing any claim, you agree to contact us at contact@syzygia.io and attempt to resolve the dispute informally for 30 days.

14. Changes to these Terms

We may update these Terms from time to time. We will post the updated version on this page and revise the "Last updated" date. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
